Senior Counsel/Associate General Counsel (Corporate/Commercial)

J.D. from an accredited law school. Licensed and in good standing in at least one state. 7+ years of relevant experience. Corporate securities experience at a law firm or publicly traded company preferred. Flexible and agile problem solver with ability to tolerate ambiguity. Ability to balance legal/business risk with commercial opportunity. Strong communication skills for addressing junior staff and senior leaders. Self-motivated, self-directed, and capable of working with minimal direction. Ability to navigate cross-functional teams and drive decision making. Excellent interpersonal and communication skills. Working experience with Microsoft Office, Google Workspace, Shareworks, IronClad, Workiva preferred. Knowledge of negotiation best practices.

Provide guidance on corporate, public company governance, and commercial activities. Assist with public company governance, SEC filings, and corporate documentation. Manage public company equity transactions and securities law analysis. Prepare, negotiate, and review commercial, sales, and strategic contracts. Partner with functional groups on transactional work, financing, insurance, and risk management. Develop strategic legal support in areas like labor, technology, or life sciences. Help lead and implement scalable legal operations. Lead special projects as assigned by General Counsel.
