Associate General Counsel

Minimum of 3-4 years of experience in a big law firm, PE fund or other fractionalized investments setting, with a focus on EC/VC, securities, or real estate practice. Juris Doctor (JD) from an accredited law school and admission to the Bar (NY and/or WA preferred). Strong understanding of securities regulations and experience with exempted offerings is highly preferred. Experience in real estate transactions and related legal matters. Excellent drafting and negotiation skills with acute attention to detail. Experience with and passion for legal automation. Ability to work independently and as part of a collaborative team. Strong analytical and problem-solving abilities. Exceptional communication and interpersonal skills.

Draft and review securities disclosure materials for Regulation A and D offerings. Review, negotiate, and draft commercial contracts. Ensure compliance with laws and regulations for the investment platform. Lead efforts in implementing and improving legal automation processes. Assist with corporate governance matters. Conduct legal research and provide analysis. Address a wide range of legal issues in day-to-day business operations.
