Requirements
- 5+ years of experience managing commercial contracts, preferably in B2B SaaS or technology.
- Strong experience independently negotiating customer-facing commercial agreements with enterprise customers.
- Deep understanding of SaaS business models and standard commercial contract terms.
- Familiarity with data privacy concepts such as GDPR, CCPA, and DPAs.
- Experience partnering with internal stakeholders and outside counsel.
- Strong business judgment to balance legal risk with commercial objectives.
- Proficiency with contract lifecycle management (CLM) platforms and e-signature tools like Ironclad or DocuSign.
- Ability to work effectively in a fast-paced startup environment.
Responsibilities
- Manage the end-to-end lifecycle for customer and vendor contracts, from intake through execution.
- Draft, review, negotiate, and manage commercial agreements including SaaS subscriptions, MSAs, DPAs, NDAs, SOWs, and partner agreements.
- Partner with internal teams such as Sales, Finance, Security, and Product to move agreements efficiently.
- Identify contractual risks and provide practical, risk-balanced solutions.
- Develop and maintain contract templates, negotiation playbooks, and fallbacks.
- Administer contract lifecycle management (CLM) systems and optimize contract operations and reporting.
