Requirements

  • 5+ years of experience managing commercial contracts, preferably in B2B SaaS or technology.
  • Strong experience independently negotiating customer-facing commercial agreements with enterprise customers.
  • Deep understanding of SaaS business models and standard commercial contract terms.
  • Familiarity with data privacy concepts such as GDPR, CCPA, and DPAs.
  • Experience partnering with internal stakeholders and outside counsel.
  • Strong business judgment to balance legal risk with commercial objectives.
  • Proficiency with contract lifecycle management (CLM) platforms and e-signature tools like Ironclad or DocuSign.
  • Ability to work effectively in a fast-paced startup environment.

Responsibilities

  • Manage the end-to-end lifecycle for customer and vendor contracts, from intake through execution.
  • Draft, review, negotiate, and manage commercial agreements including SaaS subscriptions, MSAs, DPAs, NDAs, SOWs, and partner agreements.
  • Partner with internal teams such as Sales, Finance, Security, and Product to move agreements efficiently.
  • Identify contractual risks and provide practical, risk-balanced solutions.
  • Develop and maintain contract templates, negotiation playbooks, and fallbacks.
  • Administer contract lifecycle management (CLM) systems and optimize contract operations and reporting.
