Requirements
- 2-4 years of experience working with corporate clients at a top-tier law firm.
- Primary focus on strategic transactions and M&A.
- Demonstrated leadership role in managing strategic transactions.
- Experience conducting and managing due diligence review.
- Experience drafting primary and ancillary transaction documents.
- Experience drafting and managing disclosure schedules and preparing client summaries.
- Ability to draft or spot anti-sandbagging and first-dollar indemnity clauses.
- Familiarity with waterfall spreadsheets and drafting disclosures.
- Knowledge of securities regulations including Reg D, Rule 144A, and Reg S preferred.
- Ability to thrive in a distributed, remote professional environment.
Responsibilities
- Support clients on commercial agreements and technology transactions.
- Draft shareholder agreements, LLC operating agreements, board minutes, and resolutions.
- Manage mergers & acquisitions processes including due diligence, disclosure schedules, and closing.
- Assist with joint ventures and debt/equity capital markets transactions.
- Handle public company reporting and provide direct support to the Corporate M&A Team Leader.
- Engage in direct client contact and professional growth through varied deal exposure.
