Requirements
- J.D. degree from an accredited law school.
- Active license to practice law in at least one U.S. jurisdiction and in good standing.
- Minimum 5 years of post-J.D. experience with a focus on healthcare regulatory, transactional, and commercial law.
- Demonstrated expertise in HIPAA / HITECH compliance, including BAA drafting.
- Strong proficiency in contract drafting and commercial negotiation.
- Working familiarity with Medicare Advantage supplemental benefits, Medicaid managed care, or Food is Medicine frameworks.
- Ability to operate as a fractional, embedded legal partner with high responsiveness.
- Excellent judgment regarding legal risk assessment, escalation, and triage.
- Ability to confirm no conflicts with CookUnity’s B2B counterparties and customers.
Responsibilities
- Serve as the day-to-day healthcare advisor to the B2B team on deals, product launches, and operational questions.
- Draft, review, and negotiate B2B contracts including MSAs, SOWs, BAAs, and data use agreements.
- Lead HIPAA compliance efforts for the B2B line, including drafting BAAs and advising on PHI use cases.
- Advise on Food is Medicine, Medically Tailored Meals, and healthcare-funded meal program frameworks.
- Spot-check exposure under fraud and abuse laws such as the Anti-Kickback Statute and Stark Law.
- Support state licensure and telehealth-adjacent regulatory inquiries.
- Develop legal infrastructure, including templates, playbooks, and internal training materials.
