Requirements
- Minimum of 7 years of relevant legal experience.
- Experience in negotiating enterprise software license agreements and SaaS agreements with corporate clients.
- Experience collaborating with sales teams during client and partner negotiations.
- Good knowledge of enterprise software licensing models, including subscription and on-premise.
- Experience negotiating agreements with resellers, VARs, OEMs, or other distribution partners (asset).
- In-house experience preferred, or law firm experience representing tech/software companies.
- Excellent contract drafting and negotiation skills with the ability to identify risks and propose pragmatic solutions.
- Strong communication and interpersonal skills to advise non-legal stakeholders.
- Ability to manage multiple dossiers simultaneously and work autonomously.
- Member in good standing of a relevant bar.
Responsibilities
- Draft, review, and negotiate enterprise software license agreements (including on-premise models).
- Negotiate cloud service agreements (SaaS and other cloud services).
- Handle agreements with resellers, VARs, OEMs, and other distribution partners.
- Draft and negotiate professional services agreements.
- Support sales and commercial teams during client and partner negotiations.
- Advise business stakeholders on contract structure, risk allocation, and negotiation strategy.
- Manage multiple negotiations simultaneously in a high-volume commercial environment.
- Collaborate with sales, finance, operations, and product teams to resolve business issues.
- Participate in the management of commercial disputes and escalation situations.
