Requirements

Juris Doctor degree
Active law license in good standing in the applicable state
8 years of relevant experience
Experience with a top-tier law firm
Experience advising public companies on corporate and securities law
Experience with executive compensation and global equity incentive compensation matters
Sound legal and business judgment
Strong communication and interpersonal skills
Ability to prioritize and manage multiple matters
Proactive problem-solving skills
Experience working in a remote environment

Responsibilities

Advise on the design, implementation, administration, and governance of employee compensation, health and welfare, and retirement benefit plans.
Provide legal support on executive and director compensation programs, including severance, change-in-control, and employment arrangements.
Advise on 401(k) and welfare plan governance, fiduciary oversight, and related ERISA matters.
Ensure compliance with ERISA, the Internal Revenue Code, ACA, HIPAA, COBRA, and other applicable laws.
Provide legal advice on compensation-related disclosure and corporate governance matters, including Annual Proxy Statements.
Support Section 16 compliance and advise on insider trading compliance and 10b5-1 plans.
Assist with Nasdaq listing standards and corporate governance requirements.
Support M&A activity and supervise a paralegal.
