Requirements
- J.D. degree and active bar membership in good standing.
- Approximately 4–7 years of corporate legal experience, preferably at an AmLaw 100 firm.
- Proven background in corporate, finance, or transactional law.
- Experience with M&A transactions and working at a private-equity-backed company.
- Demonstrated ability to draft and negotiate financing and commercial contracts.
- Generalist experience covering contracts, employment law, and corporate governance.
- Ability to operate autonomously as an in-house legal lead.
- Strong judgment in managing legal risks versus business objectives.
- Bias toward action and the ability to work in a fast-paced environment.
Responsibilities
- Own commercial contracts including client, law-firm, vendor, supplier, and SaaS agreements.
- Manage end-to-end financing work and partner with the CFO on credit facilities and capital-markets matters.
- Oversee HR legal work including policy drafting, offer documents, and restrictive covenants.
- Build and maintain corporate governance, including operating agreements and shareholder support.
- Handle intellectual property and trademark protection for technology products.
- Serve as the single point of contact for all outside counsel relationships.
