Requirements
- Juris Doctor (JD) degree.
- California law license or registered in-house counsel status.
- 8 years of direct experience in charitable sector law (nonprofit tax, fiscal sponsorship, exempt organization compliance, or election/advocacy law).
- Expertise in 501(c)(3) charitability, expenditure responsibility rules, and fiscal sponsorship structures.
- Experience advising charitable organizations, including public foundations (in-house or private practice).
- Knowledge of mission-related and program-related investment programs and application regulations.
- Experience advising nonprofit organizations on compliance program structure and policy.
- Strong written and verbal communication skills with the ability to explain legal concepts to non-lawyers.
- Ability to distinguish material risk from theoretical risk and provide calibrated judgment.
Responsibilities
- Serve as an authoritative internal resource on laws governing charitable exempt organizations, including grantmaking and partner due diligence.
- Advise executive leadership on complex grantmaking and investment questions, including donor-advised funds and international grants.
- Lead legal vetting of service offerings, initiatives, and philanthropic investment vehicles.
- Review and negotiate contracts, grant agreements, and investment terms while managing template libraries and legal policies.
- Respond to subpoenas and legal inquiries, directing outside counsel as necessary.
- Provide counsel on political activities, election-related work, and joint 501(c)(3)/501(c)(4) activity.
- Translate regulatory frameworks into compliance tools and policies for staff.
- Lead cross-departmental legal projects and deliver staff training on relevant legal topics.
