Requirements

  • J.D. from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction.
  • 4+ years of experience in project finance, corporate, and/or transactional practice.
  • Experience with project finance for complex infrastructure or construction projects.
  • Experience with joint venture formation, governance, and joint venture finance structures.
  • Strong drafting and negotiation skills.
  • Business acumen and ability to interact with all organizational levels.
  • Experience independently managing multiple matters in a startup environment.
  • Experience in nuclear or energy industries (preferred).

Responsibilities

  • Support deal structuring, negotiation, and drafting for project finance facilities for complex infrastructure and construction projects.
  • Assist with joint venture formation, governance, and capital contribution arrangements.
  • Draft and negotiate commercial, corporate, partnership, and shareholder agreements.
  • Coordinate with internal stakeholders including Finance, Project Development, Tax, and Operations.
  • Manage due diligence and transaction documentation for investments and strategic M&A.
  • Assess legal risks and implement mitigation strategies for corporate and project financings.
  • Support compliance with regulatory requirements, including OFAC and CFIUS.
