Requirements
- J.D. degree with active bar membership in at least one US state, in good standing.
- Up to 3 years of legal experience, preferably in-house or at a law firm, with a focus on commercial contracting.
- Experience drafting and negotiating SaaS agreements, vendor/procurement contracts, and data privacy addenda (NDAs, DPAs, BAAs).
- Solid working knowledge of contract law and data privacy fundamentals, specifically GDPR and CCPA.
- Experience working with channel and partner models, including MSP, reseller, and distributor structures.
- Strong drafting skills and the ability to communicate legal risk in plain language to non-lawyers.
- Ability to work with high autonomy in a fast-moving environment.
- Proven experience building collaborative relationships with Sales and cross-functional teams.
- Familiarity with, and genuine interest in, AI-assisted legal tools and workflow automation.
- Ability to travel occasionally.
Responsibilities
- Draft, review, and negotiate MSAs, SaaS subscription agreements, partner contracts (MSP, reseller, distributor), SOWs, NDAs, and BAAs for global entities.
- Serve as primary legal owner of standard Sales, Partner, and Procurement contracts.
- Contribute to, maintain, and optimize contracting playbooks.
- Advise stakeholders and executives on contract risks using plain language.
- Implement efficiency and relationship-building processes, including the integration of AI tools.
- Partner daily with Sales to drive contract velocity through creative deal structures.
- Negotiate DPAs, BAAs, and related privacy addenda in compliance with GDPR, CCPA, and data protection frameworks.
