Requirements
- J.D. degree from an accredited law school.
- Active license to practice law in at least one U.S. jurisdiction and in good standing.
- Minimum 5 years of post-J.D. professional experience.
- Substantive focus on healthcare regulatory, healthcare transactional, and general commercial matters.
- Strong contract drafting and negotiation skills in a commercial context.
- Demonstrated expertise in HIPAA / HITECH privacy and security rules.
- Familiarity with Medicare Advantage supplemental benefits, Medicaid managed care, or Food is Medicine frameworks.
- Ability to operate independently as a fractional legal partner.
- Excellent judgment regarding legal risk escalation.
Responsibilities
- Serve as the day-to-day healthcare advisor to the B2B team on deals, product launches, and operational questions.
- Draft, review, and negotiate B2B contracts including master services agreements, SOWs, BAAs, and data use agreements.
- Lead HIPAA compliance for the B2B line, including advising on PHI disclosures and evaluating data flows.
- Advise on Food is Medicine, Medically Tailored Meals, and healthcare-funded meal program frameworks.
- Monitor exposure under fraud and abuse laws such as the Anti-Kickback Statute and Stark law.
- Support state licensure and regulatory questions related to telehealth and food-as-medicine.
- Develop legal infrastructure including templates, playbooks, and training for the B2B team.
