Requirements

  • 10+ years of experience leading a corporate legal function, preferably as a General Counsel or Deputy General Counsel within a fast-growing technology or cybersecurity organization.
  • Extensive experience advising a Board of Directors, managing equity administration, and leading the legal strategy for venture capital financing, M&A, or public market transition readiness.
  • Deep knowledge of the cybersecurity legal landscape, including threat intelligence, data privacy regulations, and compliance frameworks.
  • Proven track record of protecting intellectual property through global patent and trademark strategies.
  • Experience building and scaling international employment and localized compliance frameworks to support rapid geographic expansion.
  • Background creating automated legal operations or leveraging automation tools to handle high-velocity commercial contracts for a scaling partner network.

Responsibilities

  • Guide the executive team and the Board of Directors with clear candor on governance best practices, fiduciary duties, and high-stakes business issues to ensure absolute transparency.
  • Move past standard legal review to act as an outcome-obsessed business partner, utilizing quantitative risk analysis to tie legal strategies directly to company valuation and long-term trajectory.
  • Navigate the complex cybersecurity legal landscape and regulatory changes with a warrior spirit, keeping us unassailable from a compliance standpoint while we operate at the edge of the cyber-threat environment.
  • Drive continuous IPO readiness by maintaining pristine corporate histories, up-to-date summaries, and rigorous diligence materials so we remain fully prepared for public market entry, Series E, or M&A milestones at a moment's notice.
  • Practice perfect imperfection by building the scalable legal frameworks necessary for a public company, implementing compliance and governance structures at the right level at the right time without over-engineering roadblocks.
  • Manage and defend the organization against litigation, employment matters, supply chain vulnerabilities, and privacy concerns like GDPR and CCPA to protect our business operations.
  • Demonstrate that you give a $h*t about our ecosystem by architecting an automated legal and compliance engine that handles high-velocity customer and partner agreements to drive excellent user experiences.
  • Partner with outside counsel and internal stakeholders to manage the cap table, equity-related governance, and supporting documentation with accuracy and discipline.
  • Partner closely with the Chief People and Administration Officer on equity strategy, including program design, governance, and alignment with talent, retention, and company growth objectives.
  • Support and draft Board and committee materials, resolutions, and related governance documentation to enable clear decision-making and strong Board operations.
  • Serve as Corporate Secretary, supporting Board and committee governance, maintaining formal records, and ensuring strong meeting cadence, resolutions, and follow-through.
  • Assess and strengthen third-party and supply chain legal risk, including resilience, vendor exposure, and related compliance implications across the partner ecosystem.
  • Build and maintain scalable playbooks for international expansion, enabling Huntress to enter new markets with localized legal, employment, and compliance frameworks.
  • Lead legal diligence, transaction execution, and post-close integration support for acquisitions so the company can evaluate and absorb opportunities quickly and with minimized risk.
