- Experience as a General Counsel or Deputy General Counsel within a fast-growing technology or cybersecurity organization.
- Extensive experience advising a Board of Directors.
- Experience managing equity administration.
- Leading the legal strategy for venture capital financing, M&A, or public market transition readiness.
- Deep knowledge of the cybersecurity legal landscape, including threat intelligence and data privacy regulations.
- Proven track record of protecting intellectual property through global patent and trademark strategies.
- Experience building and scaling international employment and localized compliance frameworks.
- Background creating automated legal operations or leveraging automation tools for high-velocity commercial contracts.
Responsibilities
- Guide the executive team and the Board of Directors with clear candor on governance best practices and fiduciary duties.
- Utilize quantitative risk analysis to tie legal strategies directly to company valuation.
- Navigate the cybersecurity legal landscape and regulatory changes.
- Drive continuous IPO readiness by maintaining pristine corporate histories and diligence materials.
- Practice perfect imperfection by building scalable legal frameworks for a public company.
- Manage and defend the organization against litigation, employment matters, supply chain vulnerabilities, and privacy concerns like GDPR and CCPA.
- Architect an automated legal and compliance engine for high-velocity customer and partner agreements.
- Manage the cap table, equity-related governance, and documentation.
- Serve as Corporate Secretary supporting Board governance.
- Lead legal diligence, transaction execution, and post-close integration for acquisitions.
