Requirements:
Juris Doctor (JD) degree from an accredited law school. Active attorney license in good standing and admission to the bar in at least one state. 6+ years of substantive legal experience, with at least 3+ years in-house preferred. Experience with private and public M&A transactions, especially mid-market transactions, including due diligence and regulatory compliance. Strong knowledge of securities laws, SEC reporting and filings, and corporate governance, particularly Delaware law. Proficiency with SEC EDGAR databases Proficiency in drafting and negotiating complex agreements, including merger and purchase agreements. Understanding of capital markets, IPOs, equity financing, and investor rights. Exceptional drafting, negotiation, and analytical skills. Ability to interpret financial data and assess legal risks. Strong project management and multitasking abilities in high-stakes environments. Effective communicator with the ability to provide clear legal guidance at all levels. Strategic thinker, aligning legal strategies with business objectives.
Responsibilities:
Draft, review, and revise legal documents, including stock transfer agreements, contracts, policies, and procedures. Prepare contracts and agreements governing equity-based compensation. Assist in the preparation and review of securities filings and compliance requirements. Advise on investor relations matters and corporate compliance. Support private and public capital markets transactions. Prepare Board resolutions, shareholder consents, waivers, and related corporate governance materials. Conduct legal research on state and federal securities laws, corporate governance, and M&A matters. Organize and coordinate shareholder meetings and compliance filings. Develop legal memoranda, summaries, charts, and other critical deliverables. Manage multiple, high-priority projects in a fast-paced environment. Provide strategic legal advice to internal business teams. Enhance legal department processes, policies, and procedures for efficiency. Identify and mitigate legal and business risks proactively. Negotiate, draft, review, and revise legal documents, including merger, purchase, and joint venture agreements and ancillary documents. Manage legal due diligence processes to assess legal risks and liabilities in transactions. Work closely with executive leadership and colleagues across EquipmentShare’s corporate development, materials division, and dealership sales to quickly and efficiently open new locations
