- 4 to 8 years of experience in corporate law
Requirements
- 4 to 8 years of corporate law experience, specifically with M&A transactions.
- Proven experience drafting and negotiating acquisition agreements, investment documents, and ancillary agreements.
- Strong understanding of corporate governance, entity management, and Delaware corporate law.
- Ability to manage multiple workstreams and competing deadlines.
- Clear, confident communication skills for stakeholder management.
- Strong hands-on drafting skills for in-house transaction work.
- Juris Doctor (JD) degree.
- Admission to at least one U.S. state bar.
Responsibilities
- Lead M&A execution including due diligence, deal structuring, and negotiation from LOI through closing.
- Draft and negotiate purchase agreements, merger agreements, and ancillary documents like escrow and transition services agreements.
- Partner with Finance, Compliance, and Product teams to assess deal risks and implement protections.
- Advise on global corporate structure and expansion, including managing international entity formation.
- Support regulatory filings related to change-of-control, such as money transmitter license transfers.
- Handle general corporate legal matters including intercompany agreements and governance.
