Requirements
- JD degree from an accredited law school.
- Active bar membership.
- 10+ years of relevant experience.
- Experience at a nationally-recognized law firm.
- Experience in securities laws and corporate governance.
- Experience with M&A transactions and SEC reporting requirements.
- Experience with SOX requirements and frameworks.
- Experience driving public company readiness or managing public company compliance.
- Strong leadership, communication, and project management skills.
- Strategic, pragmatic mindset with an ability to balance risk and business objectives.
Responsibilities
- Manage preparation for board and committee meetings, maintain corporate records and minutes, and advise on governance practices.
- Oversee corporate structure, subsidiary governance, and regulatory compliance across all jurisdictions.
- Lead legal due diligence, negotiate transaction documents, and manage post-acquisition integration.
- Negotiate and draft complex commercial agreements, financing documents, and other strategic transactions.
- Drive public company readiness, including due diligence coordination and external counsel management.
- Lead internal employment functions and corporate litigation efforts.
- Develop and implement securities law compliance programs, insider trading policies, and SOX compliance frameworks.
- Build and lead the corporate legal team, manage outside counsel, and optimize legal operations.
