Requirements
- Juris Doctor (JD) degree.
- Active bar membership.
- 8-10 years of experience in-house or at a large law firm.
- Experience negotiating complex commercial agreements.
- Knowledge of healthcare-related agreements and business associate agreements.
- Familiarity with data privacy laws such as HIPAA, CCPA/CPRA, and GDPR.
- Understanding of technology deployment models (on-premise, cloud, hybrid) and emerging technologies like AI.
- Strong interpersonal and presentation skills.
- Ability to work independently in a remote environment.
- Experience with M&A, corporate development, or complex deal structuring preferred.
Responsibilities
- Develop and drive contracting strategies for strategic partnerships, channel distribution, and co-marketing agreements.
- Draft, review, and negotiate complex agreements including MSAs, software licenses, SaaS/PaaS/IaaS, and business associate agreements.
- Advise internal stakeholders on contract interpretation, legal risks, and compliance requirements.
- Maintain contract databases and tracking systems for vendor and partner relationships.
- Prepare legal summaries and risk assessments on contract terms.
- Support contract management processes and workflow improvements.
- Coordinate with cross-functional teams including compliance, privacy, and business operations.
- Facilitate meetings to resolve contract issues and support business objectives.
- Train non-legal teams on contract processes and legal requirements.
