Requirements
- 6+ years of transactional experience, ideally at a high-tech growth company or law firm.
- J.D. degree with strong academic credentials.
- Active membership in at least one U.S. state bar.
- Hands-on experience with global enterprise software transactions.
- Ability to work on multiple issues simultaneously and set priorities effectively.
- Proven ability to provide entrepreneurial, pragmatic, and business-oriented legal advice.
- Outstanding written and verbal communication skills with a collaborative approach.
- Highly organized, detail-oriented, and diligent.
- Ability to exercise independent judgment with little or no oversight.
- Ability to operate autonomously while working as a team player.
Responsibilities
- Draft, negotiate, and advise cross-functional teams on commercial agreements such as SaaS licenses, NDAs, evaluation agreements, partnership agreements, DPAs, and vendor contracts.
- Provide legal counseling on product features, commercial transactions, business strategies, and general operations.
- Manage and resolve complicated commercial deal issues, driving alignment across cross-functional teams.
- Own the entire contracting cycle from initial draft to execution while collaborating with business, privacy, and product teams.
- Build, streamline, and operationalize contracting processes to support company scaling.
- Support HR, Marketing, and Product Development teams with contract research, deal structuring, and risk counseling.
