Requirements
- Juris Doctor (JD) from an accredited law school.
- Active membership in good standing with at least one U.S. state bar.
- Between seven and twelve years of combined law firm and in-house legal department experience.
- Four or more years of in-house experience drafting and negotiating complex agreements in a high pressure technology sales environment.
- Significant experience with negotiating SaaS, cloud, and other technology agreements.
- Experience addressing issues in telecommunications, data privacy, AI, cybersecurity, and regulatory compliance.
- Experience managing multiple projects and negotiations simultaneously in a fast-paced environment.
- Strong commercial judgment and ability to balance legal risk with business objectives.
Responsibilities
- Draft, review, and negotiate a broad range of commercial agreements, including master services, data processing, partner and reseller, business associate, vendor, end user license, confidentiality, and service level agreements.
- Prime complex legal transactions with customers and partners across verticals such as retail, insurance, finance, and healthcare.
- Advise internal stakeholders on liability, AI and data use, data privacy, cybersecurity, and regulatory compliance considerations.
- Partner closely with Sales, Operations, Product, Compliance, Procurement, and Finance teams to support transaction closures.
- Identify legal risks and provide balanced, pragmatic solutions that support business objectives.
- Develop and maintain contract templates, negotiation playbooks, and scalable legal processes.
