Requirements

  • Juris Doctor (JD) from an accredited law school.
  • Active membership in good standing with at least one U.S. state bar.
  • Between seven and twelve years of combined of law firm and in-house legal department experience.
  • Four or more years of in-house experience drafting and negotiating complex agreements in a high pressure technology sales environment.
  • Significant experience with negotiating SaaS, cloud, and other technology agreements.
  • Experience addressing issues in telecommunications, data privacy, AI, cybersecurity, and regulatory compliance.
  • Experience managing multiple projects and negotiations simultaneously in a fast-paced demanding environment.
  • Strong commercial judgment and ability to balance legal risk with business objectives.
  • Experience supporting product teams with AI-enabled and data-driven technology products, features, and use (preferred).
  • Familiarity with data privacy and regulatory frameworks relevant to enterprise SaaS platforms, including HIPAA, GDPR, SOC 2, and U.S. privacy laws (e.g., CCPA/CPRA) (preferred).
  • Working knowledge of standard business processes for cloud companies, including go-to-market strategy, customer experience management, and finance processes (preferred).
  • Proficiency improving contract lifecycle management and legal operations within high-growth technology companies (preferred).

Responsibilities

  • Draft, review, and negotiate a broad range of commercial agreements, including master services, data processing, partner and reseller, business associate, vendor, end user license, confidentiality, and service level agreements.
  • Prime complex legal transactions with a variety of customers and partners of different scales and sizes, across verticals such as retail, insurance, finance, and healthcare.
  • Advise internal stakeholders on liability, AI and data use, data privacy, cybersecurity, and regulatory compliance considerations within commercial agreements.
  • Partner closely with Sales, Operations, Product, Compliance, Procurement, and Finance teams to successfully close customer and partner transactions.
  • Identify legal risks and provide balanced, pragmatic solutions that support business objectives while managing legal risk in a high-pressure, high-growth environment.
  • Assist in the development, maintenance, and continuous improvement of contract templates, negotiation playbooks, frequently asked questions, and scalable legal processes that improve efficiency and accelerate deal velocity.
