Requirements

  • Juris Doctor (J.D.) from an accredited law school.
  • Active bar membership in the United States.
  • 6–8 years of legal experience for Senior Corporate Counsel level, or 8–12 years for Director-level consideration.
  • Strong background in technology transactions, SaaS agreements, commercial contracts, and related licensing arrangements.
  • Experience supporting M&A transactions, including due diligence, deal execution, and post-close integration activities.
  • Working knowledge of privacy regulations such as GDPR and CCPA.
  • Experience advising on employment law matters, including policies, agreements, and compliance.
  • Prior experience working within or alongside SaaS or technology companies is highly preferred.
  • Strong ability to leverage legal technology and AI tools to improve workflows and operational efficiency.
  • Excellent communication skills with the ability to translate complex legal issues into clear, business-oriented guidance.
  • High level of autonomy and ability to manage multiple competing priorities in a fast-paced environment.

Responsibilities

  • Provide end-to-end legal support across technology transactions and commercial contracting, including SaaS agreements, MSAs, DPAs, licensing arrangements, OEM agreements, and vendor partnerships.
  • Serve as a strategic advisor to Sales, Product, Finance, HR, and Customer Success teams, helping structure deals, manage risk, and translate legal considerations into actionable business guidance.
  • Support product development and go-to-market initiatives by advising on product legal requirements, terms of service, and regulatory considerations.
  • Partner on privacy and data protection matters, including GDPR, CCPA, customer data obligations, and privacy impact assessments.
  • Contribute to M&A and corporate development activities, including due diligence, transaction execution, and post-merger integration support.
  • Assist with employment, procurement, litigation, IP, and ESG-related legal matters in collaboration with internal stakeholders and leadership.
  • Develop and optimize legal operations through AI tools, automation, contract templates, and standardized playbooks.
  • Support the General Counsel in building a modern, high-performing legal function.
