Requirements
- JD degree.
- Active license to practice law in the jurisdiction where the candidate resides.
- 4–6+ years of commercial contracting experience.
- Strong drafting, redlining, and negotiation skills.
- Experience with technology, construction, SaaS, or procurement agreements.
- Ability to manage multiple contracts simultaneously.
- Strong business judgment and ability to distinguish legal from commercial issues.
- Experience with CLM platforms like Ironclad (nice-to-have).
- Experience building contract playbooks and approval matrices (nice-to-have).
- Ability to work independently in a lean legal function.
Responsibilities
- Draft, review, and negotiate a broad range of commercial agreements including NDAs, MSAs, SOWs, and SaaS/construction contracts.
- Support business teams with practical, business-oriented contracting guidance.
- Project manage contracts to closure by coordinating approvals and tracking issues.
- Coordinate with external counsel for overflow support.
- Administer and improve Ironclad workflows, intake forms, and template repositories.
- Develop contracting playbooks, fallback positions, and escalation procedures.
- Monitor contract volume and cycle times via dashboards and reports.
