Requirements
- J.D. from an accredited law school.
- Active admission to at least one state bar.
- 10–15 years of legal experience.
- Prior experience at a SaaS or recurring-revenue software company.
- Experience as General Counsel, Deputy GC, or senior in-house counsel.
- Deep expertise in commercial contracts and SaaS-specific legal issues.
- Strong knowledge of data privacy regulations (GDPR/CCPA).
- Experience with growth equity or M&A transactions.
- Business-first mindset and pragmatic risk assessment skills.
- Strong executive presence and communication skills.
Responsibilities
- Serve as corporate secretary and manage Board governance, equity plan administration, and investor documentation.
- Lead legal diligence for financing transactions, M&A, and strategic partnerships.
- Own commercial contracts function including SaaS MSAs, DPAs, and SLAs.
- Develop and execute comprehensive IP protection strategy and manage open-source compliance.
- Manage global data privacy program including GDPR and CCPA/CPRA compliance.
- Advise HR on employment matters, including litigation and labor regulations.
- Oversee risk management, insurance programs, and corporate litigation.
- Build the legal department and manage legal operations and outside counsel.
