Requirements
- Law school degree (JD) and active bar membership.
- 8-10 years of experience gained in-house or at a large law firm.
- Demonstrated ability to negotiate complex agreements with an understanding of legal, financial, and commercial considerations.
- Strong interpersonal and presentation skills with the ability to communicate across all levels of the organization.
- Ability to work independently and maintain responsiveness in a remote environment.
- Working knowledge of healthcare agreements, HIPAA, CCPA/CPRA, and GDPR.
- Understanding of technology deployment models including on-premise, cloud, and hybrid.
- Experience with M&A, corporate development, or complex deal structuring is preferred.
Responsibilities
- Develop and drive contracting strategies for strategic partnerships, channel and distribution, and co-marketing agreements.
- Draft, review, and negotiate complex vendor agreements including MSA, SaaS, PaaS, IaaS, and business associate agreements.
- Advise internal stakeholders on contract interpretation, legal risks, and compliance requirements.
- Maintain contract databases and tracking systems for vendor and partner relationships.
- Prepare legal summaries and risk assessments on contract terms.
- Coordinate with cross-functional teams including compliance, privacy, and business operations to resolve contract issues.
- Assist in training non-legal teams on contract processes and legal requirements.
