Requirements
- 7+ years of practicing attorney experience.
- 2+ years of experience at a top-tier law firm in any practice area.
- 5+ years of in-house experience at a technology company focused on sales-side commercial transactions.
- Experience negotiating complex software, technology, data licensing, or enterprise commercial agreements.
- Strong understanding of software products, APIs, SDKs, and technology platforms.
- Experience supporting customer-facing transactions rather than primarily procurement, privacy, or regulatory compliance matters.
- Juris Doctor (JD) degree from a top-tier law school.
- Active membership in at least one U.S. state bar.
- Technical background preferred, including a degree in computer engineering, computer science, or a related technical field.
- Experience with software patent litigation or patent prosecution at a top-tier firm is a plus.
- Ability to manage multiple priorities, collaborate effectively, and operate independently in a remote environment.
Responsibilities
- Advise business teams on complex commercial transactions, including customer agreements, data licensing arrangements, and strategic partnerships.
- Support product and engineering teams by providing legal guidance related to technical implementations, APIs, SDKs, and product development.
- Own commercial deals from negotiation through execution, developing practical solutions that balance business objectives and legal risk.
- Draft, review, and negotiate sophisticated agreements, including enterprise sales contracts, licensing agreements, and technology partnerships.
- Partner closely with sales, product, engineering, and business teams to understand customer use cases and deliver tailored legal guidance.
- Provide strategic counsel on complex business decisions while maintaining a customer-focused and solution-oriented approach.
- Improve legal operations by developing scalable processes, updating templates, and enhancing workflows to support organizational growth.
- Collaborate with internal stakeholders to identify opportunities, resolve challenges, and accelerate business initiatives.
