Requirements
- 5-7+ years of transactional experience in the software industry.
- Fully licensed as a lawyer in a US state.
- Experience drafting and negotiating standard and vendor order agreements, SaaS, and software license contracts.
- Experience in dispute resolution and mediation.
- Experience negotiating contracts related to EU regulations such as DORA addenda.
- Excellent drafting capabilities for privacy-related agreements and documents like DPAs and Transfer Impact Assessments.
- Experience with marketing vendor contracts such as trade show and lead generation agreements.
- Strong organizational skills and ability to multi-task.
- Professionalism and openness to learning and developing new areas of expertise.
Responsibilities
- Draft, review, negotiate, and present for execution a wide variety of individual and outbound agreements, including vendor agreements, customer order contracts, SaaS and alliance agreements, SOWs, and NDAs.
- Provide legal support for global HR operations, including compliance with GDPR, EU AI Act, and Cyber Resiliency Act.
- Assist with office and customer compliance matters, including employee policies, internal HR regulations, and facility management.
- Consult with internal clients to develop business and legal terms, providing training and leadership regarding laws and obligations.
- Provide advice regarding EU, state, and federal regulations applicable to the business.
- Assist with the continuous improvement of agreement templates for the contracting process.
