Requirements
- 4+ years of M&A and emerging companies experience at a reputable firm.
- Proven experience running deals independently in the startup ecosystem.
- Specific experience with startup-context M&A, including acqui-hires and asset deals.
- Working knowledge of NVCA documents, SAFEs, convertible notes, 409A and 83(b) mechanics, and equity plan basics.
- Ability to manage corporate governance, employment, IP, and commercial issues for growing companies.
- Experience using modern AI tools for legal work.
- Admitted to practice law in at least one U.S. jurisdiction and in good standing.
Responsibilities
- Run venture financings, formations, equity issuances, and related emerging companies matters for companies and investors.
- Lead M&A transactions including stock and asset acquisitions, acqui-hires, earnout structures, and company sale processes.
- Serve as the primary point of contact for clients, advising founders and management teams on corporate, employment, IP, and governance issues.
- Negotiate terms directly with investor and company counsel based on market standards.
- Refine and utilize AI-native workflows to handle routine deal work and focus on high-level judgment.
