Requirements
- 4-6+ years of substantive corporate and transactional experience.
- Deep fluency in Delaware law.
- Solid working knowledge of New York, Massachusetts, and Missouri law.
- Expertise in fund formation, M&A, entity structuring, commercial contracts, and corporate governance.
- Proven ability to structure entities and transactions with a focus on tax consequences.
- Track record of owning legal matters from strategy through execution without support staff.
- Demonstrated, current fluency and integration of AI tools in legal practice.
- Experience in at least one of: fund formation/securities, nonprofit governance, political/campaign finance law, or litigation.
- Background in startups, holding companies, private equity, search funds, or roll-up environments.
Responsibilities
- Design and maintain legal structure across consulting, investment, operating, non-profit, and political entities.
- Structure and execute fund formation, including partnership agreements and securities compliance.
- Lead legal execution of acquisitions and roll-ups, including due diligence and financing.
- Manage tax-aware entity selection, inter-company arrangements, and equity design.
- Draft and negotiate commercial contracts, MSAs, and protect intellectual property.
- Maintain corporate governance, board materials, and compliance for various entity types.
- Integrate AI tools to optimize legal workflows and advise on legal questions related to AI products.
