Experience
Minimum 8 years in procurement contracts; minimum 10 years with distributor agreements.

Requirements

  • Juris Doctor (JD) degree.
  • Active bar membership in good standing with an applicable state bar association.
  • Licensed to practice law in relevant U.S. jurisdictions.
  • Minimum 8 years of experience in procurement contracts, preferably in the solar energy sector.
  • Experience in technology OEM contracts or white label agreements representing the reseller or buyer.
  • Minimum 10 years of experience with distributor agreements in the energy sector.
  • Specific experience with antitrust matters arising from distributor relationships, preferably representing the seller.
  • Familiarity with federal procurement, employment, tariffs, and bankruptcy laws.
  • Understanding of risks in an EPC/infrastructure contracting environment.
  • In-house legal counsel experience preferred.

Responsibilities

  • Independently draft, analyze, review, revise, and negotiate procurement, OEM, white label, distributor, and sales agreements.
  • Assess commercial risks holistically for project execution and ensure compliance with legal and contractual policies.
  • Coordinate with internal teams including procurement, project management, sales, finance, and senior management.
  • Develop negotiation strategies and provide creative, business-oriented guidance on legal risk.
  • Advise on energy and federal procurement regulations and antitrust law in the context of solar energy.
  • Manage claims, support dispute resolution, and advise on settlements under the direction of the General Counsel.
