Requirements
- Bachelors Degree in Legal Studies, Business or a related field, or Paralegal Certification.
- 6–10+ years of corporate paralegal or corporate governance experience.
- Experience supporting board and committee administration.
- Experience with entity management and corporate compliance filings.
- Experience supporting domestic and international subsidiaries.
- Strong corporate governance and organizational skills.
- Experience preparing board materials, resolutions, and minutes.
- Understanding of corporate structures and compliance requirements.
- Strong project management and stakeholder coordination skills.
- Analytical and risk assessment capabilities.
- Strong written and verbal communication.
Responsibilities
- Manage corporate governance activities including preparation and maintenance of board and committee materials, resolutions, consents, meeting agendas, minutes, and corporate records.
- Coordinate board meeting logistics and ensure compliance with corporate governance requirements.
- Support IPO readiness initiatives and public company governance preparation efforts.
- Manage domestic and international legal entities including formations, dissolutions, and annual filings.
- Support mergers, acquisitions, financings, and restructurings through due diligence and document management.
- Partner with internal leadership and external counsel on governance and strategic projects.
- Develop and enhance governance processes, entity management systems, and legal operations workflows.
