Requirements

  • Bachelors Degree in Legal Studies, Business or a related field, or Paralegal Certification.
  • 6–10+ years of corporate paralegal or corporate governance experience.
  • Experience supporting board and committee administration.
  • Experience with entity management and corporate compliance filings.
  • Experience supporting domestic and international subsidiaries.
  • Strong corporate governance and organizational skills.
  • Experience preparing board materials, resolutions, and minutes.
  • Understanding of corporate structures and compliance requirements.
  • Strong project management and stakeholder coordination skills.
  • Analytical and risk assessment capabilities.
  • Strong written and verbal communication.

Responsibilities

  • Manage corporate governance activities including preparation and maintenance of board and committee materials, resolutions, consents, meeting agendas, minutes, and corporate records.
  • Coordinate board meeting logistics and ensure compliance with corporate governance requirements.
  • Support IPO readiness initiatives and public company governance preparation efforts.
  • Manage domestic and international legal entities including formations, dissolutions, and annual filings.
  • Support mergers, acquisitions, financings, and restructurings through due diligence and document management.
  • Partner with internal leadership and external counsel on governance and strategic projects.
  • Develop and enhance governance processes, entity management systems, and legal operations workflows.
