- 2+ years of experience in transactional and corporate law.
- Experience in a top national law firm or in-house at a technology company.
- Strong project management and analytical skills.
- Excellent oral and written communication skills.
- Ability to work independently in a remote environment.
Responsibilities
- Serve as outside general counsel to early-stage and growth companies.
- Form and structure new entities and draft founder documentation.
- Lead venture financings from pre-seed to Series B+.
- Manage debt transactions and negotiate loan agreements.
- Own end-to-end closing execution and due diligence processes.
- Draft, review, and negotiate commercial contracts including SaaS, MSAs, and NDAs.
- Advise on corporate governance, board consents, and equity plan administration.
