Requirements

  • Experience from a top-tier Private Equity or M&A practice
  • AI-native (prompt-engineer workflows)
  • Comfortable building a "no-code" legal stack
  • Tax-literate generalist (understand international tax geometry)
  • Ability to use AI to navigate tax treaties
  • Operational mindset (value deal velocity, quantify risk in dollars)

Responsibilities

  • Lead the legal lifecycle of ~5 acquisitions/year.
  • Own the SPA and manage local counsel in Europe/NA.
  • Drive deals to close.
  • Work at the intersection of legal and finance.
  • Use AI to model tax-efficient deal structures (Asset vs. Share).
  • Maintain global transfer pricing framework between Delaware and European subsidiaries.
  • Manage the $100M debt facility.
  • Handle drawdowns and ensure covenant compliance.
  • Manage lender relations.
  • Oversee compliance for a 400-person workforce (FTEs, Contractors, EOR) across Germany, Austria, France, Finland, Canada, and the US.
  • Manage and scale Stock Appreciation Rights program globally.
