Co-develop global tax strategy and target legal structure with CFO Advise on corporate legal structure design Maintain documentation for tax strategy and legal structure Conduct research and advise on global tax strategy Co-develop and maintain legal and tax compliance calendar Monitor country-by-country compliance with legal, financial, and tax deadlines Support internal accounting with external auditors and service providers Co-manage and implement company-wide tax strategy and legal structure Ensure intra-group contracts and primary documentation are audit-ready Manage preparation of group transfer-pricing documentation Manage external financial audits in USA, Canada, and Estonia Support accounting team with tax guidance and external consulting Manage external tax vendors and communicate with tax authorities Manage external payroll vendors Conduct legal and tax research on legislative and tax changes Manage preparation and submission of personal income tax return for U.S. shareholder Conduct quarterly internal legal audits to identify and assess risks Co-develop strategies and policies to mitigate identified risks Co-design and implement customer scoring and risk assessment procedures Manage design of legal processes and workflows in JIRA for contract lifecycle Design simplified contract form for tests and low-value sales orders Review and update standard templates of customer and vendor agreements Find and contract new service providers for legal, tax, and audit services Manage registration of new legal entities Manage opening of bank accounts and investing accounts Manage capitalization tables and equity contribution documentation Process inbound and outbound KYC/AML/financial regulations requests Prepare intra-company agreements and financing agreements Structure strategic transactions with CFO for M&A Lead legal work-stream for buy-side and sell-side deals Draft and negotiate core transaction documents Advise on corporate-finance instruments Act as lead company negotiator with counterpart counsels Co-lead legal reviews of customer contracts and negotiate complex provisions Act as lead company negotiator in resolving customer disputes and negotiating settlements
