Requirements

  • Hold a JD.
  • Have a minimum of 8 years of experience in a legal environment.
  • Bring significant experience negotiating complex SaaS, cloud services, technology infrastructure, and commercial transactions.
  • Have deep experience negotiating cloud compute, SaaS, hosting, data processing, professional services, and other technology supplier agreements.
  • Be comfortable advising on data privacy, data security, AI, and general commercial risk.
  • Understand cloud computing business models, contracting structures, and pricing frameworks, including consumption-based models and committed spend arrangements.
  • Have experience partnering with Engineering, Infrastructure, Security, Finance, and Procurement stakeholders on high-value technology deals.
  • Have experience translating negotiated contract terms into scalable internal processes and operational guidance.
  • Communicate legal and complex contract concepts as clear, practical guidance for business teams.
  • In-house experience at a technology company is preferred; the posting specifies a minimum of 2 years.

Responsibilities

  • Negotiate complex SaaS, AI, compute infrastructure, data processing, professional services, and other commercial transactions.
  • Lead legal support for enterprise cloud negotiations with AWS and other cloud service providers.
  • Advise the business on transaction risks involving data security, data privacy, AI, intellectual property, and commercial terms.
  • Partner with Engineering, Finance, Procurement, Security, and Privacy on cloud forecasting, budget alignment, and strategic transactions.
  • Advise on uptime, business continuity, subcontracting, data use, compliance, portability, and supplier accountability.
  • Help internal stakeholders implement contract requirements, track committed spend and renewals, and support reporting and audit compliance.
  • Evaluate alternative technologies, providers, and contracting approaches.
  • Develop processes, playbooks, and systems to scale cloud and commercial contracting.
  • Monitor cloud contracting trends, licensing and consumption models, and industry best practices.
