Requirements
- Juris Doctor from an accredited law school.
- Active bar membership in good standing.
- Proven experience in tech transactions (law firm and in-house).
- Track record negotiating SaaS/commercial agreements, NDAs, vendor, and reseller agreements.
- Expertise in drafting and negotiating SLAs, EULAs, and subscription contracts.
- Strong knowledge of contract law, data privacy (GDPR, CCPA), and IP law.
- Ability to balance risk mitigation with deal-closing time pressure.
- Excellent drafting, negotiation, and project management skills.
Responsibilities
- Negotiate sales agreements end to end for new logos and renewals.
- Draft, review, and negotiate NDAs, vendor agreements, reseller/partnership agreements, and independent contractor agreements.
- Revamp and standardize contracting processes for the shift to a multi-product business.
- Draft and negotiate customer agreements including SLAs, EULAs, and subscription contracts.
- Advise on compliance with data protection laws such as GDPR and CCPA, and IP matters including software licensing, copyright, and trademark.
- Coordinate with external counsel on commercial disputes and litigation.
- Provide supervision for the part-time APAC legal resource and contracts manager.
