Requirements

  • Juris Doctor (J.D.) degree and active bar membership in good standing.
  • 12+ years of legal experience, including significant in-house leadership experience.
  • Prior Chief Legal Officer or General Counsel experience strongly preferred.
  • Proven experience negotiating complex commercial and technology agreements at scale.
  • Demonstrated ability to advise and present to Boards of Directors, executive teams, and investors.
  • Experience working with private equity-backed or investor-governed organizations.
  • Strong background overseeing litigation, labor and employment matters, and regulatory considerations.
  • Excellent executive presence with strong judgment, communication, and relationship-building abilities.
  • Ability to balance business objectives with legal risk management and operational priorities.
  • Experience in fintech, lending, mortgage technology, servicing, or other regulated industries is a plus.

Responsibilities

  • Lead the legal function across commercial agreements, corporate governance, compliance, risk management, and strategic initiatives.
  • Own the full contract lifecycle, including customer agreements, renewals, SaaS agreements, licensing agreements, data processing agreements, and vendor contracts.
  • Partner with Sales, Product, Customer Success, and executive teams to structure agreements that support growth while effectively managing risk.
  • Develop contracting frameworks, templates, approval processes, and legal operating models that scale with business needs.
  • Advise executive leadership and Board members on governance matters, fiduciary responsibilities, regulatory considerations, and material legal risks.
  • Prepare legal updates, risk assessments, and strategic materials for Board meetings and leadership discussions.
  • Manage relationships with outside counsel, including selection, budgeting, scope oversight, and coordination across specialized legal matters.
  • Oversee litigation strategy, employment-related legal matters, investigations, and dispute resolution processes.
  • Guide corporate governance activities, entity management, intellectual property strategy, and enterprise risk programs.
  • Build and mentor a high-performing legal team while developing a culture of proactive partnership and business enablement.
