Requirements

  • Juris Doctor (J.D.) from an accredited U.S. law school.
  • Active bar membership in good standing in at least one U.S. state.
  • 5+ years of experience focused on commercial contract drafting, negotiation, and management in law firm or in-house environments.
  • Proven experience handling complex commercial agreements and balancing legal risk with business objectives.
  • Demonstrated ability to manage high-volume contract workflows in fast-paced environments.
  • Hands-on experience with contract lifecycle management tools (Ironclad preferred).
  • Strong legal research, writing, and analytical skills with excellent attention to detail.
  • Excellent communication skills with the ability to translate legal concepts into business guidance.

Responsibilities

  • Lead end-to-end contract lifecycle management, including drafting, negotiation, execution, amendment, termination, and ongoing contract governance.
  • Support a high-volume contracting environment by improving efficiency, developing templates, fallback positions, and negotiation playbooks.
  • Identify, assess, and mitigate commercial and legal risks such as indemnity, liability, data rights, and regulatory obligations.
  • Oversee and enhance the contract lifecycle management system, including workflows, metadata structure, and process optimization.
  • Track contract performance metrics such as cycle time, volume, and risk trends to inform decision-making.
  • Provide legal guidance to business stakeholders on contract structure, compliance, and negotiation strategy.
  • Ensure contract governance, compliance, recordkeeping, and audit readiness.
