Requirements
- Minimum 12 years of progressive equity and stock plan administration experience, preferably at a public company.
- Deep experience with equity administration platforms (e.g., Shareworks, Carta, E*TRADE/Morgan Stanley, Fidelity) and cap table management.
- Strong understanding of ASC 718 and 409A equity compensation accounting and tax concepts.
- Technical knowledge of Section 16, Rule 144, Rule 10b5-1, Section 6039, and proxy/periodic SEC reporting.
- Experience administering corporate compliance programs and managing policy documentation.
- Advanced Excel skills and strong analytical mindset with high attention to detail.
- Bachelor’s degree in Business, Finance, Accounting, or related field.
- CEP designation, paralegal certificate, or J.D. preferred.
Responsibilities
- Manage day-to-day administration of equity plans, including award lifecycles, cap table reconciliation, and equity management platforms.
- Partner with Legal, Finance, and HR on equity design, modeling, implementation, grant cycles, and share pool analysis.
- Administer insider trading policy, including trading windows, pre-clearance, blackout periods, and 10b5-1 trading plans.
- Develop and manage employee compliance training programs, policy documentation, and the corporate compliance calendar.
- Support preparation of periodic SEC filings including 10-K, 10-Q, and 8-K from an equity and compensation perspective.
- Manage relationships with transfer agents and brokers, ensuring accurate share issuances, settlements, and shareholder servicing.
