Requirements
- Juris Doctor degree.
- Active bar membership in Canada or the United States.
- At least 10 years of relevant legal experience.
- Experience at a nationally recognized law firm.
- Mix of late-stage private and public company experience preferred.
- Experience in technology or SaaS preferred.
- Expertise in M&A, including due diligence and post-closing integration.
- Strong knowledge of corporate governance, securities laws, and entity management.
- Experience advising on international expansion and subsidiary formation.
- Experience managing external counsel and cross-functional teams.
Responsibilities
- Lead legal workstreams for mergers and acquisitions, covering due diligence, negotiations, and transaction documentation.
- Advise on legal and regulatory requirements for international operations and subsidiary management.
- Oversee corporate governance processes, including policy development and global entity management.
- Provide legal support for finance activities such as tax planning, insurance renewals, and employee equity.
- Manage litigation, dispute resolution, and intellectual property portfolios.
- Develop and deliver compliance training programs for employees.
- Serve as a trusted legal partner to business leaders, balancing risk management with company growth.
