Requirements
- 3+ years of corporate/transactional paralegal experience.
- Substantive ECVC experience including incorporations, venture financings, and cap table/equity plan administration.
- Proficiency with capitalization management platforms such as Carta or Shareworks.
- Four-year degree and/or paralegal certificate from an ABA-approved program.
- Experience in a law firm, legal tech, or in-house environment.
- Solid working knowledge of NVCA-style financing documents, SAFEs, and convertible notes.
- Exposure to startup-side M&A including asset deals, acqui-hires, and company sales.
- Advanced experience with Excel spreadsheets.
- Strong written communication and organizational skills.
- Ability to work independently in a fast-moving, deadline-driven environment.
- Curiosity regarding AI tools and technology in legal service delivery.
Responsibilities
- Support venture financings including priced rounds, SAFEs, and convertible notes from term sheet through closing.
- Incorporate and organize new entities, preparing formation documents, bylaws, and initial resolutions.
- Implement and administer equity incentive plans and stock option grants.
- Maintain and update capitalization tables and equity records using platforms like Carta or Shareworks.
- Handle corporate records management, annual filings, and franchise tax matters.
- Assist with diligence for M&A transactions, including data room organization and closing documentation.
- Draft and revise standard agreements and serve as a primary contact for client closing logistics.
- Refine and utilize AI-native workflows to automate routine drafting and document assembly.
