Requirements
- JD from an accredited law school.
- Active membership in good standing with at least one state bar (California preferred, or eligible for Registered In-House Counsel status).
- 5+ years of relevant legal experience, with substantial responsibility for drafting and negotiating complex agreements.
- Demonstrated experience with MSAs, SOWs, vendor and technology agreements, NDAs, clinical trial agreements, MTAs, and research collaborations.
- Working knowledge of life sciences and healthcare contracting issues, including clinical research, HIPAA, data privacy, and IP allocation.
- Hands-on experience using contract lifecycle management and electronic-signature systems.
- Excellent drafting, negotiation, and project-management skills.
- Strong ability to manage multiple matters and deliver actionable advice.
- In-house experience in biotech, life sciences, diagnostics, or medical device sectors is strongly preferred.
Responsibilities
- Draft, review, and negotiate a broad portfolio of commercial, vendor, professional services, technology, and strategic collaboration agreements.
- Advise cross-functional teams on contract structure, risk allocation, liability, IP, and data security.
- Support strategic partnerships and health-system collaborations with responsive, balanced legal guidance.
- Draft and negotiate clinical trial and research-related agreements, including MTAs and data-sharing terms.
- Coordinate internal reviews and approvals to ensure scopes, budgets, and business terms are aligned across departments.
- Maintain accurate status records in the contract lifecycle management system from intake through signature.
- Develop and improve templates, playbooks, and processes to increase internal efficiency.
