Requirements
- Juris Doctor (JD) or an advanced degree in Business, Finance, Supply Chain, or a related discipline; alternatively, 5+ years of progressive experience in contract management, negotiation, or a related field.
- Demonstrated experience reviewing, drafting, negotiating, and administering contracts, with direct responsibility for contractual terms and conditions.
- Proven ability to independently redline agreements and identify contractual, financial, operational, and compliance risks.
- Strong understanding of contract negotiation principles and the ability to translate complex contractual considerations into practical business recommendations.
- Experience negotiating directly with third parties, particularly across procurement, sales, services, or licensing.
- Experience with creative or complex contract drafting within a regulated environment.
- Familiarity with contract lifecycle management (CLM) platforms such as Ironclad, Icertis, or comparable systems.
- Strong analytical, organizational, and problem-solving skills with exceptional attention to detail.
- Demonstrated ability to balance commercial objectives with compliance, risk mitigation, and operational considerations.
- Ability to work autonomously, exercise sound judgment, and manage multiple complex priorities.
- Comfortable collaborating with senior stakeholders and influencing decisions.
Responsibilities
- Advise business partners and stakeholders on contractual risks, mitigation strategies, and negotiation considerations before agreements are executed.
- Independently negotiate with third parties, redline contract language, and provide detailed assessments of legal, financial, operational, and commercial risks.
- Review, draft, negotiate, and administer complex agreements while ensuring alignment with business objectives, compliance requirements, and organizational interests.
- Partner with Legal, Finance, Supply Chain, and business stakeholders to structure agreements that enable growth while appropriately managing risk.
- Evaluate contract terms and conditions, identify potential exposures, and recommend practical solutions that balance business priorities with risk management.
- Contribute to contract management strategy and influence improvements in departmental approaches, processes, and practices.
- Exercise independent judgment when addressing moderately complex to highly complex contractual issues.
- Use contract lifecycle management tools and related systems to support efficient contract review, tracking, administration, and execution.
