Requirements

  • Juris Doctor (JD) or equivalent law degree with excellent academic credentials.
  • Active license to practice law in California, or admission in another U.S. state with eligibility and registration as In-House Counsel in California.
  • 10+ years of relevant legal experience, including substantial experience handling complex commercial transactions.
  • Preferably, at least 2 years of in-house legal experience within the medical device, pharmaceutical, biotechnology, or related healthcare industry.
  • Strong and broad knowledge of commercial and contract law.
  • Familiarity with the federal False Claims Act, Anti-Kickback Statute, and Food, Drug, and Cosmetic Act.
  • Working knowledge of privacy laws and international, federal, and state requirements applicable to medical-device organizations.
  • Excellent written and verbal communication skills.
  • Ability to translate complex legal considerations into practical business guidance.
  • Strong organizational skills and the ability to work independently.
  • High integrity, sound judgment, and discretion.

Responsibilities

  • Provide legal and business advice, drafting, negotiation, and interpretation support for a broad range of commercial and operational agreements.
  • Partner directly with key business decision-makers during negotiations to identify risks and develop mitigation strategies.
  • Support expanding international operations by identifying legal risks and collaborating cross-functionally.
  • Develop and improve contract administration processes, systems, and internal controls.
  • Work with contract administrators to monitor obligations, renewals, and expirations.
  • Strengthen legal-process training and communications.
  • Collaborate with regulatory, procurement, R&D, finance, and other teams to ensure compliance.
  • Identify and implement approval controls for new contractual commitments.
  • Manage outside counsel and maintain strict confidentiality.
  • Ensure compliance with privacy requirements like HIPAA, CCPA, and GDPR, and healthcare regulations like EU/UK MDR and FDA requirements.
