Requirements
- Bachelor's degree in Accounting, Finance, Taxation, or related field (Master's in Taxation preferred).
- Active CPA certification (MST, JD, or LLM preferred).
- At least 10 years of progressive tax advisory experience, including transaction tax diligence and structuring.
- Proven experience leading tax due diligence engagements for private equity and middle-market organizations.
- Strong understanding of U.S. federal, state, local, and international tax considerations in M&A.
- Experience reviewing and analyzing purchase and merger agreements.
- Demonstrated success in business development, client relationship management, and practice growth.
- Strong leadership, project management, and analytical skills.
- Advanced Microsoft Excel skills and experience with data analytics.
- Established relationships within private equity, investment banking, or M&A communities are highly desirable.
Responsibilities
- Lead the strategic direction, growth, and overall performance of the Transaction Advisory Services tax diligence practice.
- Lead tax due diligence engagements for private equity firms, strategic acquirers, family offices, and corporate sellers.
- Identify and communicate tax risks, opportunities, and structuring considerations related to acquisitions, divestitures, and restructurings.
- Collaborate with federal, state, local, and international tax specialists to deliver comprehensive transaction solutions.
- Review acquisition and merger agreements to identify tax considerations and support deal negotiations.
- Build, mentor, and develop a high-performing professional services team.
- Develop executive-level relationships to generate new business and strengthen referral networks.
- Partner with firm leadership on proposals, engagement scoping, and fee discussions.
- Review tax assumptions within transaction models and financial projections.
