Requirements
- Juris Doctor (JD) or LL.M. degree required.
- Admission to the bar in at least one U.S. state.
- At least 12 years of commercial contracting experience, including substantial work with state and local government agencies.
- Meaningful experience in an in-house or vendor-side commercial legal role.
- Strong knowledge of state and local government contracting laws, procurement requirements, and FOIA rules.
- Demonstrated experience drafting, reviewing, and negotiating a broad range of commercial and vendor contracts.
- Proven ability to partner cross-functionally with sales, finance, and operations teams.
- Strong commercial judgment and ability to independently assess risk.
- Proficiency with Microsoft Word and PowerPoint.
- Ability to travel occasionally (less than 10%).
Responsibilities
- Serve as a primary legal partner to revenue and growth leadership, advising on deal strategy, pricing structures, and risk allocation.
- Draft, review, negotiate, and manage agreements with state and local government customers and strategic partners.
- Act as a deal desk for high-value transactions, coordinating with cross-functional stakeholders to drive practical outcomes.
- Provide legal guidance on state and local procurement laws, contract terms, and public disclosure requirements.
- Develop, maintain, and improve contract templates, clause libraries, playbooks, and standardized legal processes.
- Audit contracts for renewal deadlines and compliance requirements to ensure proactive management.
- Support RFP processes by reviewing legal requirements and advising on appropriate responses.
- Build effective working relationships across the organization to foster a collaborative culture.
