Requirements
- Juris Doctor (J.D.) from an accredited law school.
- Licensed to practice law in at least one U.S. jurisdiction.
- 8–12+ years of relevant legal experience.
- Strong understanding of corporate governance, securities regulations, and commercial transactions.
- Experience in corporate and securities law at a top law firm strongly preferred.
- In-house experience at a technology company preferred.
- Experience supporting public companies or IPO readiness highly desirable.
- Practical, business-oriented approach to legal advice.
- Strong communication and organizational skills.
Responsibilities
- Support Board of Directors and committee governance, including preparation of Board materials and resolutions.
- Maintain corporate records and oversee entity management across domestic and international subsidiaries.
- Assist with implementation of public company governance practices and policies.
- Support development of disclosure controls and procedures and assist with preparation of SEC filings (10-K, 10-Q, 8-K).
- Support corporate development initiatives including acquisitions, investments, and strategic partnerships.
- Provide legal guidance on commercial agreements, customer, partner, and vendor contracts.
- Partner with cross-functional teams on compliance policies, training programs, and risk management.
