Requirements
- Juris Doctor (J.D.) from an accredited law school.
- Licensed to practice law in at least one U.S. jurisdiction.
- 8–12+ years of relevant legal experience.
- Strong understanding of corporate governance, securities regulations, and commercial transactions.
- Experience with public company filings and IPO readiness strongly desirable.
- Experience at a top law firm or in-house at a technology company preferred.
- Highly organized with strong judgment and attention to detail.
- Excellent communication skills with the ability to translate legal complexity into business guidance.
Responsibilities
- Support Board of Directors and committee governance, including preparation of Board materials and resolutions.
- Maintain corporate records and oversee entity management across domestic and international subsidiaries.
- Assist with implementation of public company governance practices, policies, and disclosure controls.
- Prepare and review public company filings, including Forms 10-K, 10-Q, and 8-K.
- Support corporate development initiatives, including acquisitions, investments, and strategic partnerships.
- Provide legal guidance on commercial agreements, including customer, partner, and vendor contracts.
- Coordinate with outside counsel on corporate, securities, and transactional matters, managing legal budgets.
