Requirements
- Juris Doctor (JD) degree from an accredited law school.
- Active bar membership in good standing (multi-state preferred).
- Minimum 8–12 years of legal experience.
- Strong M&A and corporate law background.
- Experience in private equity-backed or multi-entity organizations preferred.
- Knowledge of corporate governance, contract law, employment law, and regulatory compliance.
- Experience managing outside counsel and legal budgets.
- Ability to operate in a fast-paced, high-growth environment.
- Excellent negotiation, analytical, and decision-making skills.
- Strong communication skills.
Responsibilities
- Lead all legal aspects of corporate governance, risk, compliance, divestitures, integrations, mergers, and acquisitions.
- Provide legal guidance to executive leadership on corporate strategy, risk, insurance and compliance.
- Draft, review, and negotiate purchase agreements, vendor contracts, employment agreements, and partnership agreements.
- Oversee corporate governance, entity structuring, and compliance across multiple states.
- Manage external legal counsel and optimize legal spend.
- Assist in insurance strategy, claims management, and risk exposure analysis.
- Develop and implement legal policies, procedures, and risk mitigation strategies.
- Ensure compliance with federal, state, and local regulations.
- Support HR and leadership on employment-related legal matters and disputes.
- Oversee litigation, claims, and dispute resolution processes.
