Requirements

  • J.D. from an accredited U.S. law school.
  • Active bar membership in at least one U.S. jurisdiction.
  • 5–8+ years of combined law firm and/or in house experience focused on commercial contracts.
  • Demonstrated experience drafting and negotiating MSAs, SaaS agreements, technology agreements, and vendor procurement contracts at scale.
  • Strong working knowledge of commercial risk concepts, limitation of liability, indemnification, IP ownership, warranties, and SLA frameworks.
  • Clear, concise drafting style.
  • Excellent judgment and ability to operate independently.
  • Experience working with Claude or equivalent large language model tools.

Responsibilities

  • Draft, review, and negotiate a broad portfolio of commercial agreements, including MSAs, SaaS and cloud subscription agreements, software licenses, professional services agreements, SOWs, order forms, NDAs, and inbound and outbound technology agreements.
  • Lead vendor procurement contracting end to end from intake and risk triage through redlines, negotiation, signature, and renewal in close partnership with Procurement, InfoSec, and business owners.
  • Support the Sales organization on merchant and partner agreements, including pricing schedules, integration terms, marketing addenda, and bespoke enterprise deals.
  • Negotiate technology agreements covering payments infrastructure, data and analytics, AI/ML services, hosting, fraud and identity, and developer tools.
  • Review and negotiate data protection agreements (DPAs), standard contractual clauses, and security exhibits.
  • Maintain and continuously improve Sezzle’s contract templates, playbooks, fallback positions, and self service resources.
  • Advise internal stakeholders on contract risk, escalation paths, and practical commercial alternatives.
  • Help operate and improve our contract lifecycle management (CLM) tooling, intake workflows, signature processes, and post-signature obligations tracking.
  • Track renewals, auto-renewal windows, and key commercial obligations across the vendor portfolio.
  • Demonstrated experience working with Claude or equivalent large language model tools.
